Terms and Conditions of Sale

These Terms and Conditions govern the sale of goods by Amber Etc Ltd ("we", "us", "our") to trade customers ("Customer", "you", "your"). By placing an order with us, you agree to be bound by these Terms and Conditions.

1. Business Customers Only

1.1 Amber Etc Ltd operates as a wholesale supplier and sells exclusively to trade customers, retailers, and businesses.

1.2 By registering an account or placing an order, you confirm that you are acting in the course of a business and not as a consumer.

1.3 Consumer protection legislation applicable to consumer sales does not apply to transactions conducted under these Terms.

3. Trade Account Registration

3.1 Access to trade pricing and ordering facilities may require approval of a trade account.

3.2 We reserve the right to approve, reject, suspend or terminate any account at our sole discretion.

3.3 Customers are responsible for maintaining the confidentiality of account login credentials.

3.4 Any activity conducted through a Customer account shall be deemed authorised by the Customer.


4. Orders

4.1 All orders are subject to acceptance by Amber Etc Ltd.

4.2 An order constitutes an offer to purchase goods. No contract shall exist until we confirm acceptance of the order.

4.3 We reserve the right to refuse any order without providing a reason.

4.4 Product availability shown on the website is indicative and may be subject to change.

4.5 We may limit quantities supplied at our discretion.


5. Product Information

5.1 We make reasonable efforts to ensure product descriptions, specifications, measurements and images are accurate.

5.2 Due to the natural characteristics of Baltic amber and the handmade nature of certain products, variations in colour, shape, inclusions, transparency, size and appearance may occur.

5.3 Product images are provided for illustrative purposes only and may not exactly represent the goods supplied.

5.4 Such natural variations shall not be regarded as defects.


6. Prices

6.1 All prices are displayed exclusive of VAT unless otherwise stated.

6.2 We reserve the right to amend prices without notice.

6.3 Price changes shall not affect orders already accepted.


7. Payment

7.1 Payment is due at the time of ordering unless alternative credit arrangements have been agreed in writing.

7.2 Accepted payment methods will be displayed during checkout.

7.3 Ownership of goods shall not pass to the Customer until payment has been received in full.

7.4 If payment is not received when due, we reserve the right to suspend further deliveries and orders.


8. Delivery

8.1 Delivery dates are estimates only and are not guaranteed.

8.2 Time for delivery shall not be of the essence.

8.3 Risk in the goods shall pass to the Customer upon delivery.

8.4 The Customer is responsible for inspecting goods immediately upon receipt.

8.5 Any shortages, damage or delivery discrepancies must be reported within 3 business days of delivery.

8.6 We shall not be liable for delays caused by carriers, customs authorities, adverse weather conditions or circumstances beyond our reasonable control.


9. Returns and Cancellations

9.1 As a business-to-business supplier, we do not offer statutory cancellation rights applicable to consumer transactions.

9.2 Returns may only be accepted with prior authorisation.

9.3 Authorised returns must be returned unused, in original condition and suitable for resale.

9.4 We reserve the right to refuse returns that do not meet these requirements.

9.5 Return shipping costs are the responsibility of the Customer unless goods are faulty or supplied incorrectly.


10. Faulty Goods

10.1 The Customer must inspect all goods promptly following delivery.

10.2 Claims relating to faulty goods must be reported within a reasonable period after discovery.

10.3 Where a valid fault is established, our liability shall be limited, at our option, to:

  • replacement of the goods;

  • repair of the goods;

  • refund of the purchase price.

10.4 We reserve the right to inspect or request return of allegedly faulty goods before determining an appropriate remedy.


11. Retention of Title

11.1 Title to goods shall remain with Amber Etc Ltd until all amounts owed by the Customer have been paid in full.

11.2 Until ownership passes, the Customer shall store goods separately and clearly identify them as our property.

11.3 We reserve the right to recover goods for which payment has not been received.


12. Limitation of Liability

12.1 Nothing in these Terms shall exclude or limit liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • any liability which cannot legally be excluded.

12.2 Subject to clause 12.1, our total liability arising from any contract shall not exceed the amount paid by the Customer for the relevant goods.

12.3 We shall not be liable for:

  • loss of profits;

  • loss of revenue;

  • loss of business;

  • loss of anticipated savings;

  • loss of goodwill;

  • indirect or consequential losses.


13. Intellectual Property

13.1 All website content, product images, descriptions, graphics and marketing materials remain the property of Amber Etc Ltd or its licensors.

13.2 Customers may use supplied product information and images solely for the purpose of promoting and reselling products purchased from us.

13.3 Content may not be copied, modified or distributed for any other purpose without written permission.


14. Force Majeure

14.1 We shall not be liable for any failure or delay in performing our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to:

  • natural disasters;

  • fire;

  • flood;

  • war;

  • industrial disputes;

  • transportation disruptions;

  • governmental action;

  • supplier failures.


15. Privacy and Data Protection

15.1 We process personal data in accordance with our Privacy Policy and applicable UK data protection legislation.

15.2 Customers are responsible for ensuring that any information provided to us is accurate and up to date.


16. Amendments

16.1 We reserve the right to amend these Terms and Conditions from time to time.

16.2 The version published on our website at the time of ordering shall apply to the relevant transaction.


17. Governing Law

17.1 These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

17.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from or relating to these Terms and Conditions.
